These Terms of Service (“Terms”) govern your use of UmpTrack and UmpTrack.net. UmpTrack is operated by Steven Springman Jr. By creating an account or using the Service, you agree to these Terms.
1. Eligibility and Accounts
You must be legally capable of entering into these Terms. You are responsible for providing accurate account information, maintaining the security of your credentials, and activity occurring through your account. You must promptly notify us if you believe your account has been compromised.
2. The Service
UmpTrack provides tools intended to help baseball and softball umpires and other supported officials organize assignments, game history, earnings, payment status, mileage, contacts, performance reviews, and related information. Features may change as the product develops.
3. User Records and Responsibility
You are responsible for the accuracy, legality, and appropriateness of information you enter into UmpTrack. You should independently verify schedules, locations, assignments, fees, payments, mileage, tax records, and other important information with the relevant organization, assigner, governing body, or professional adviser.
4. No Tax, Accounting, Financial, Legal, or Officiating Certification Advice
UmpTrack’s earnings, mileage, payment, tax-planning, and reporting tools are organizational and informational tools only. They do not constitute tax, accounting, investment, financial, or legal advice. Performance ratings and mechanics tools are personal tracking aids and do not constitute certification, evaluation, or approval by any league, association, governing body, or officiating organization unless expressly stated.
5. Free and Pro Plans
UmpTrack may offer a Free plan and one or more paid plans, including UmpTrack Pro. Features, limits, prices, trials, and availability may change. Before any paid purchase, the applicable price and material subscription terms will be presented to you. Current development/test-mode Pro controls do not constitute a paid subscription.
6. Paid Subscriptions
When paid subscriptions are activated, purchases made through Apple, Google, or another authorized billing provider will also be governed by that provider’s payment, renewal, cancellation, and refund rules. Unless otherwise stated at purchase, recurring subscriptions may automatically renew until canceled through the applicable billing provider. Canceling a subscription does not necessarily delete your UmpTrack account.
7. Acceptable Use
You may not misuse UmpTrack, attempt unauthorized access, interfere with the Service, circumvent access controls or paid-feature restrictions, upload malicious code, use the Service unlawfully, infringe another person’s rights, scrape or exploit the Service at unreasonable scale, or use third-party personal information in a manner that violates applicable law.
8. Intellectual Property
UmpTrack, its original software, branding, logos, graphics, interface elements, text, and other product materials are owned by or licensed to the operator and are protected by applicable intellectual-property laws. These Terms give you a limited, personal, revocable, non-exclusive right to use the Service; they do not transfer ownership of UmpTrack intellectual property to you.
9. Your Content
You retain your rights in information and content you enter into UmpTrack. You grant us a limited license to host, process, copy, transmit, and display that content solely as reasonably necessary to operate, secure, support, and improve the Service and fulfill your requests.
10. Third-Party Services
UmpTrack may rely on or link to third-party services such as cloud hosting, authentication, app stores, mapping, subscription, or communication providers. We do not control third-party services and are not responsible for their independent terms, availability, or conduct.
11. Beta and Availability
Beta, preview, and development features may be incomplete, change without notice, or experience errors. We may modify, suspend, or discontinue features. We do not guarantee uninterrupted availability, perfect synchronization, permanent storage, or that the Service will meet every officiating organization’s requirements. Maintain independent records where loss of information could materially affect you.
12. Termination
You may stop using UmpTrack at any time and may request account deletion. We may suspend or terminate access when reasonably necessary to address violations of these Terms, fraud, security threats, legal obligations, or material harm to the Service or others.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMPTRACK AND ITS OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST ASSIGNMENTS, LOST EARNINGS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE. TO THE EXTENT A LIABILITY CAP IS PERMITTED AND APPLICABLE, AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO UMPTRACK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
15. Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful misuse of the Service, your violation of these Terms, or your infringement of another person’s rights.
16. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict-of-law principles. Subject to any non-waivable consumer rights, disputes that are not resolved informally will be brought in a court of competent jurisdiction in Pennsylvania. Nothing in these Terms eliminates rights that applicable consumer law does not permit you to waive.
17. Changes to These Terms
We may update these Terms as the Service evolves. The updated Terms will be posted with a revised effective date. If a change materially affects your rights, we will provide additional notice when required.
