These Terms of Service (“Terms”) govern your use of UmpTrack, UmpTrack.net, and related services. The Service is operated by UMPTRACK LLC, a Pennsylvania limited liability company (“UmpTrack,” “Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 16 years old to create or maintain an UmpTrack account and must otherwise be legally capable of agreeing to these Terms. By creating an account, you confirm that you meet UmpTrack's minimum-age requirement. You are responsible for providing accurate account information, maintaining the confidentiality and security of your credentials, and activity occurring through your account. You must promptly notify us if you believe your account or credentials have been compromised.
2. The Service
UmpTrack provides tools intended to help baseball and softball umpires and other supported sports officials organize assignments, game history, earnings, payment status, expenses, mileage, contacts, organizations, and performance reviews. Features may be added, changed, limited, or removed as the product develops.
3. User Records and Responsibility
You are responsible for the accuracy, legality, and appropriateness of information you enter into UmpTrack. You should independently verify schedules, locations, assignments, fees, payments, mileage, tax records, rules, and other important information with the relevant organization, assigner, governing body, or professional adviser. UmpTrack is not the official record of any league, association, tournament, assigner, tax authority, or governing body unless expressly stated in writing.
4. No Tax, Accounting, Financial, Legal, or Officiating Certification Advice
UmpTrack’s earnings, mileage, payment, expense, tax-planning, reporting, and related tools are organizational and informational tools only. They do not constitute tax, accounting, investment, financial, or legal advice. Performance ratings, mechanics tools, and self-evaluations are personal tracking aids and do not constitute certification, evaluation, approval, or discipline by any league, association, governing body, or officiating organization unless expressly stated.
5. Free and Pro Plans
UmpTrack Free lets an account create and sync up to 5 qualifying games in total. Manual game entry and supported schedule imports share the same Free allowance. Cancelled or deleted games do not count toward the allowance. When the Free allowance is reached, existing account data remains available, but adding or importing additional qualifying games requires UmpTrack Pro. UmpTrack Pro is listed at $2.99 per month and removes the game limit. Beta, preview, complimentary, or development-mode Pro access does not itself create a paid subscription or guarantee future free access to paid features. We may change plan features, limits, pricing, or promotional terms prospectively, subject to applicable law and store requirements.
6. Paid Subscriptions and Billing
UmpTrack Pro is offered as a monthly automatically renewing subscription through Apple's App Store; Google Play distribution remains in testing. The applicable store manages payment, renewal, cancellation, and refund rules. Unless canceled through the applicable store before renewal, the subscription may automatically renew for another monthly period. Canceling a subscription does not delete your UmpTrack account or existing data, and Pro access generally remains available through the paid-through date. Deleting your UmpTrack account does not necessarily cancel an active store-managed subscription.
7. Acceptable Use
You may not misuse UmpTrack, attempt unauthorized access, interfere with or disrupt the Service, circumvent access controls or paid-feature restrictions, probe or exploit security weaknesses, upload malicious code, use the Service unlawfully, infringe another person’s rights, scrape or exploit the Service at unreasonable scale, impersonate others, or use third-party personal information in a manner that violates applicable law or rights.
8. Intellectual Property
As between you and UMPTRACK LLC, the Company owns or lawfully controls the UmpTrack name and brand, original software, source and object code, logos, graphics, interface elements, designs, documentation, website content, and other original product materials, except for third-party materials used under license. These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. They do not transfer ownership of UmpTrack intellectual property to you.
9. Your Content
You retain your rights in information and content you enter into UmpTrack. You grant UMPTRACK LLC a limited, non-exclusive license to host, process, copy, transmit, display, back up, and otherwise use that content only as reasonably necessary to operate, secure, support, improve, and provide the Service, comply with law, and fulfill your requests. You represent that you have the rights or other lawful basis necessary to provide content you submit.
10. Feedback
If you voluntarily provide suggestions, ideas, feature requests, bug reports, or other feedback about UmpTrack, you permit the Company to use that feedback without restriction or compensation, provided this does not transfer ownership of your unrelated personal content or confidential information.
11. Third-Party Services
UmpTrack may rely on, integrate with, or link to third-party services such as cloud hosting, authentication, email, app stores, mapping, subscriptions, or communication providers. We do not control third-party services and are not responsible for their independent terms, availability, security, content, or conduct. Your use of third-party services may be subject to separate terms.
12. Beta, Preview, and Availability
Beta, private-beta, preview, and development features may be incomplete, change without notice, contain errors, or experience interruptions. We may modify, suspend, discontinue, or limit features. We do not guarantee uninterrupted availability, perfect synchronization, permanent storage, or that the Service will meet every officiating organization’s requirements. Maintain independent records where loss of information could materially affect you.
13. Account Suspension and Termination
You may stop using UmpTrack at any time and may request account deletion. We may suspend, restrict, or terminate access when reasonably necessary to address violations of these Terms, suspected fraud or abuse, security threats, legal obligations, nonpayment when paid services are active, or material harm to the Service, the Company, or others. Where appropriate, we may provide notice or an opportunity to resolve an issue before termination.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMPTRACK LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AUTHORIZED REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST ASSIGNMENTS, LOST EARNINGS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE. TO THE EXTENT A LIABILITY CAP IS PERMITTED AND APPLICABLE, AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO UMPTRACK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
16. Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, damages, or reasonable expenses arising from your unlawful misuse of the Service, your material violation of these Terms, or your infringement or violation of another person’s rights. This section does not require indemnification to the extent prohibited by applicable law.
17. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict-of-law principles. Subject to any non-waivable consumer rights or other mandatory law, disputes that are not resolved informally will be brought in a court of competent jurisdiction in Pennsylvania. Nothing in these Terms eliminates rights that applicable law does not permit you to waive.
18. Changes to These Terms
We may update these Terms as the Service evolves. Updated Terms will be posted with a revised effective date. If a change materially affects your rights or obligations, we will provide additional notice when required by law. Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.
19. Miscellaneous
These Terms, together with the Privacy Policy and any purchase-specific terms presented to you, form the agreement between you and UMPTRACK LLC regarding the Service. If a provision is held unenforceable, the remaining provisions will continue to the fullest extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign your account or rights under these Terms without our consent; the Company may assign these Terms in connection with a merger, acquisition, reorganization, or transfer of the Service or related assets, subject to applicable law.
